Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Legion Distribution LLC d/b/a CadNester ("CadNester," "we," "us," or "our") governing your access to and use of the CadNester website, application, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract, or you must use the Service on behalf of a company or other legal entity with authority to bind that entity to these Terms.

2. The Service

CadNester is a cloud-based software platform that allows users to upload design files and generate nested layouts for fabrication workflows, including CNC and laser cutting workflows. The Service may support file types such as SVG, DXF, STEP, STL, and OBJ, as well as related settings, project management features, and output exports.

We may update, modify, suspend, or discontinue any part of the Service at any time, with or without notice, subject to applicable law.

3. Accounts

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activities that occur under your account.

You must promptly notify us if you suspect unauthorized use of your account.

4. Subscription Plans and Permitted Use

CadNester may offer free and paid plans.

Free Plan

The Free plan is for personal, evaluation, and non-commercial use only, unless we expressly state otherwise.

Paid Plans

Paid plans may include commercial use rights, higher usage limits, additional file formats, faster processing, advanced features, or priority support, as described on the pricing page or order flow at the time of purchase.

We may impose reasonable usage, storage, compute, or fair-use limits to protect the reliability and security of the Service.

5. Billing, Auto-Renewal, and Cancellations

If you subscribe to a paid plan:

• you authorize us and our payment processor to charge the applicable subscription fees, taxes, and other disclosed charges;
• your subscription will automatically renew at the end of each billing period unless you cancel before renewal;
• if pricing changes, we will provide advance notice before the new pricing takes effect for your next renewal period;
• unless otherwise required by law, fees are non-refundable once charged;
• if payment fails, we may suspend or downgrade your account until payment is successfully processed; and
• you may cancel at any time, and cancellation will take effect at the end of the current paid billing period unless stated otherwise.

You agree not to initiate improper chargebacks. If you do, we may suspend or terminate your account and pursue any remedies available to us.

6. Customer Content

"Customer Content" means the files, models, metadata, layouts, settings, and other materials you upload to, store in, or generate through the Service.

You retain ownership of your Customer Content. These Terms do not transfer ownership of your intellectual property to CadNester.

You grant CadNester a limited, non-exclusive, revocable license to host, store, copy, process, transmit, display, and use Customer Content solely as necessary to provide, maintain, secure, support, and improve the Service for you, and to comply with legal obligations.

7. Your Responsibilities

You represent and warrant that:

• you own or have the necessary rights, licenses, and permissions to upload and use Customer Content with the Service;
• your use of the Service and Customer Content will not violate any law, contract, intellectual property right, confidentiality obligation, export restriction, or other third-party right; and
• the information you provide to us is accurate and current.

You are solely responsible for reviewing, validating, and approving all inputs, settings, outputs, layouts, and manufacturing decisions before using them in production.

8. Acceptable Use

You may not:

• use the Service for unlawful, infringing, fraudulent, or abusive purposes;
• upload malware, malicious code, or harmful content;
• probe, scan, or test the vulnerability of the Service without authorization;
• interfere with the integrity, security, or performance of the Service;
• reverse engineer, decompile, or attempt to extract source code except where prohibited by law from restricting such activity;
• share account credentials in violation of your plan limits; or
• use the Free plan for commercial purposes if the plan is designated as non-commercial.

9. Outputs, Manufacturing Risk, and No Engineering Guarantee

CadNester provides software tools to assist with nesting and layout generation. The Service is not a substitute for engineering review, CAM validation, machine setup verification, material testing, safety checks, or compliance review.

You are solely responsible for verifying that any output is accurate, suitable, and safe for your specific use case, equipment, tolerances, materials, and production environment before cutting, machining, fabricating, or manufacturing anything based on the output.

We do not guarantee that outputs will be error-free, manufacturable, code-compliant, machine-compatible, or fit for any particular purpose.

10. CadNester Intellectual Property

The Service, including its software, algorithms, interface, branding, text, graphics, and other non-Customer Content materials, is owned by CadNester or its licensors and is protected by intellectual property and other laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you.

11. Feedback

If you provide suggestions, ideas, comments, or feedback about the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that feedback without restriction or compensation to you.

12. Third-Party Services

The Service may integrate with or rely on third-party providers such as payment processors, hosting providers, authentication services, analytics services, or export tools. We are not responsible for third-party services, and your use of them may be governed by separate terms and privacy policies.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service if:

• you violate these Terms;
• your use creates security, legal, or operational risk;
• payment is overdue; or
• we are required to do so by law.

You may stop using the Service at any time and may request account deletion in accordance with our Privacy Policy.

Sections that by their nature should survive termination will survive, including sections relating to payment obligations, intellectual property, disclaimers, limitations of liability, indemnity, dispute resolution, and any licenses granted under these Terms.

14. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, CadNester disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that any defects will be corrected.

15. Limitation of Liability

To the maximum extent permitted by law, CadNester and its affiliates, owners, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or production losses, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the total amount you paid to CadNester for the Service in the 12 months before the event giving rise to the claim; or (b) USD $50 if you used only a free plan.

16. Indemnification

You agree to defend, indemnify, and hold harmless CadNester and its affiliates, owners, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your Customer Content;
• your use of the Service;
• your violation of these Terms; or
• your violation of any law or third-party right.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.

18. Assignment and Business Transfers

You may not assign or transfer these Terms without our prior written consent.

We may assign or transfer these Terms, and our rights and obligations under them, without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or part of our business or assets.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the revised Terms and may provide additional notice through the Service or by email. By continuing to use the Service after the updated Terms become effective, you agree to the revised Terms.
